Welcome to Panoptic. These Terms of Service ("Terms") govern your access to and use of the Panoptic competitive intelligence platform and related services (the "Service") operated by Panoptic ("we," "our," or "us").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

You must be at least 18 years old and capable of forming a binding contract to use the Service. By registering, you represent that you meet these requirements.

The Service is offered through various subscription plans as described on our pricing page. Features and limitations vary by plan.
Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Payment is due at the beginning of each billing cycle.
All payments are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or account cancellations.
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until then.
We may change our prices at any time. Price changes will be communicated at least 30 days in advance and will apply to subsequent billing cycles.

The Service, including its design, features, content, and underlying technology, is owned by Panoptic and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during your subscription period.
If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.
You retain ownership of all data you submit to the Service ("User Data"). You grant us a license to use, process, and store your User Data solely to provide and improve the Service.
The competitive intelligence data we provide is gathered from publicly available sources. We do not guarantee the accuracy, completeness, or timeliness of this data. You are responsible for verifying any information before making business decisions.
You may export your User Data at any time through the Service or by contacting us. Upon account termination, we will retain your data for 30 days before deletion, unless otherwise required by law.
The Service may integrate with or contain links to third-party services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their terms.
We use third-party service providers to operate the Service (see our Privacy Policy for details). We are not liable for any acts or omissions of these providers.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You agree to indemnify, defend, and hold harmless Panoptic and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
You may terminate your account at any time by canceling your subscription and deleting your account through the Service settings.
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:
Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in California. You consent to the personal jurisdiction of such courts.
Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at legal@panoptic.so. We will attempt to resolve the dispute within 30 days.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Panoptic regarding the Service and supersede all prior agreements.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
